In order to qualify as a Broker-Dealer
representative permitted to review RK Properties private placement memorandums,
please complete the attached questionnaire. Upon qualification, a response will
be forwarded to you by e-mail notifying you of your qualification and providing
by e-mail information regarding private placement memorandums which are
available through the RK Properties web site.
The United States Securities and
Exchange Commission requires the posting of a notice of a private offering in a
password protected page by RK Properties accessible only to Broker-Dealer
representatives or their clients who have previously qualified as "accredited
investors" as such term is defined in §506 of Regulation D. This notice and
related password protection is required to ensure that the presentation of such
information by RK Properties does not involve any form of general solicitation
or general advertising within the meaning of Regulation D §502(c) as promulgated
under the Securities Act of 1933.
Broker-Dealer representatives are advised that
only after meeting the requirements of one of the Regulation D categories may a
client qualified as an accredited investor review offers for private offerings
of RK Properties on our web site in accordance with the rules otherwise applying
under Regulation D. The intent is that such investors are not to invest in
private offerings that are posted on RK Properties web site prior to the
registration of the investor as an accredited investor.
